Meridian & Co. Membership Agreement Version: 2026-09-30 Between: Meridian & Co. TN LLC, a Tennessee limited liability company at 6102 Shallowford Road, Suite 104, Chattanooga, Tennessee 37421 (“Meridian”, “we”, “us”) And: the person or people who sign below (“you”) 1. What this agreement is This sets out what Meridian does for your family, what it costs, and what each of us is responsible for. We have written it in plain language on purpose, so you can read it yourself and know exactly what you are getting. 2. Who the people are The client is the older adult this work is about. Their name goes on the signature page. Members are the people we may speak with and who may see the record. You name them, and you can add or remove them at any time. Each person’s access is recorded separately. Your Navigator is the person at Meridian who holds your family’s work. We will tell you who they are and let you know if that changes. 3. What Meridian does We help families understand and organize the practical side of aging, and we do the work that follows. That includes: • Working through the Meridian Compass with you, so you can see where things stand • Making a plan and keeping it current • Coordinating with doctors, attorneys, agencies, facilities and others on your behalf • Keeping your family’s documents in the Meridian vault, and helping you get them in order • Finding and arranging services and support • Speaking with members of your family and keeping everyone who should know, informed • Helping the client keep doing the things that matter to them 4. What Meridian is not This part matters, so we say it plainly. We are not a medical provider. We do not diagnose, treat, prescribe, or provide nursing or personal care. We do not come to the home to provide care. We do not give legal, financial, tax or medical advice. We will help you find and work with the professionals who do, and we will help you understand what they tell you. Decisions remain yours. HIPAA may not apply to us, and you should not assume it does. HIPAA covers healthcare providers, health plans and clearinghouses, and it can reach companies working on their behalf. Meridian works directly for families rather than for a provider or an insurer, so for the work described here it generally does not apply. Whether it applies at all depends on what we are actually doing, and we will tell you if that ever changes. What protects the information you share with us is this agreement, our Privacy Notice, the permissions you set inside Meridian, and the consumer and health-data laws that apply to us regardless of HIPAA. We take that seriously because you are trusting us by choice rather than because one law requires it. We are not paid to send you anywhere. No facility, agency, provider or contractor pays us for recommending them to you, and nothing we suggest to your family is influenced by money. What we recommend is what we believe is right for you. We may do other paid work with companies in this field — advising them, training their people, and similar work. That work is never about your family, never tied to where we send you, and never affects what we recommend. If that ever changes, we will tell you in writing before it touches any recommendation we make to you. 5. What you agree to • Give us information that is accurate and complete, as far as you know it • Tell us when something changes — a move, a hospital stay, a new diagnosis, a change in who is involved • Tell us who may speak for the client and who may see the record, and keep that current • Make your own decisions. We will give you our best thinking; the choices are yours. 6. When we work, and how fast we answer We work Monday to Friday during business hours, Eastern time. We answer within one business day. If you contact us on a Friday afternoon, you will hear from us by the end of Monday. Outside those hours we are not staffed. If something urgent happens, tell us and we will pick it up when we are next working. 7. What it costs Membership Fee Guided $499 per month Fees are billed monthly in advance. Your first period begins on the day you first pay, and each period runs one month from that day. There is no annual plan. What you get for it is in Schedule A, attached to this agreement and forming part of it. If Schedule A is not attached, this agreement is not complete and should not be signed. Signature Projects — defined pieces of work like a move, a search for care, or getting documents in order — are separate, with their own written agreement and their own price. Nothing in this agreement commits you to one. Other work may be invoiced separately when we agree it in advance. We will tell you the price and what you are getting before we do the work, and the invoice will say what it was for. 8. Pausing You can pause your membership at any time by telling your Navigator. A pause stops billing going forward. It does not refund a period in which work was already done. When you come back, billing starts again from that day. 9. Refunds • We do not refund a period that has started and in which we have done work. • We do refund a period in which we did no work. If you paid and we did nothing, ask us and we will return it. • Service runs to the end of any period you have paid for, even if you end the agreement partway through. 10. If the price changes We will give you at least 60 days’ written notice before any change to your fee. A change takes effect at the start of a monthly period, never in the middle of one you have paid for, and never sooner than 60 days after we tell you. If you do not want to continue at the new price, tell us before it takes effect and we will end the agreement at your renewal with nothing further owed. 11. Ending this agreement You can end it at any time, for any reason, by telling your Navigator. Service runs to the end of the period you have paid for. We can end it with 30 days’ written notice. We may end it sooner if someone is abusive to our staff, if we are asked to do something unlawful, or if fees go unpaid after we have asked twice. If we end it for our own convenience, we will refund any period you have paid for in which we have not yet done work, and we will give you everything we hold for you before we go. 11a. If the client dies This agreement ends on the date the client dies, once we are reliably told. We bill only up to that date and return the rest without you having to ask for it. You will not have to telephone us about money at that moment. Work for surviving family members is a separate agreement, and not something we will raise in the same week. 12. Your family’s information What we keep. Notes from our conversations, the Compass and its history, the plan, documents you put in the vault, and a record of who has seen what. Who sees it. Your Navigator, and the members you have named. Other Meridian staff only where there is a reason and it is recorded. Documents in your vault are opened only by the person who shared them and your Navigator, unless you say otherwise, and every opening is recorded. What we will not claim. Like any company that stores files for people, a small number of our own staff hold the technical keys to the systems your documents sit on. We keep that number as small as we can, we record who they are, and nothing in Meridian gives anyone a way to open a document you have marked private. But we will not tell you it is impossible, because that would not be true, and we would rather you knew exactly what you are trusting. How long we keep it. For as long as you are with us. If you leave, we delete your family’s information on request, except records we must keep by law and the signed version of this agreement, which we keep for seven years along with the name of whoever signed it. Recording. We do not record calls unless you have separately told us we may. That permission is asked on its own, it is not part of signing this agreement, and you can withdraw it at any time. We do not sell it. Not to anyone, for any purpose. We do not share it with advertisers or data brokers. Learning from it. We study patterns across the families we serve so we can do this work better. Before we do, we remove everything that identifies anyone. What remains cannot reasonably be traced back to you. This is for improving our own service — we do not sell it, license it, or use it to train anyone else’s systems. Our Privacy Notice at meridianco.org/privacy explains all of this in more detail, and forms part of this agreement. 13. Confidentiality What you tell us is confidential. We will not share it outside Meridian except with people you have named, with professionals you have asked us to work with, where the law requires it, or where we believe someone is at risk of serious harm. 14. Speaking for the client The client decides who may speak for them, and we record it. We do not decide whether anyone has capacity. That is not ours to determine and we will not record a conclusion about it. If there is a question about capacity it belongs with a physician, an attorney, or a court. Where someone else is acting for the client, we ask to see the authority they are relying on — a power of attorney, a healthcare agent appointment, a court appointment — and we record what we were shown, who holds it, and when we saw it. A healthcare agent’s authority is about healthcare. It is not a general or financial authority and we will not treat it as one. If people in your family disagree, we will say so plainly and we will not take sides. We will follow whoever holds the authority for that decision. 15. Reporting harm Tennessee law requires any person with reasonable cause to believe that an adult covered by the Tennessee Adult Protection Act is being abused, neglected or financially exploited to report it. If we have that reasonable cause, we will report it without waiting for proof and without needing your agreement, and we may not be able to tell you first. We would rather you knew that now than found out then. 16. Where we are not responsible We coordinate with doctors, agencies, attorneys, facilities and contractors. We do not control them and we are not responsible for what they do. Choosing them is your decision; we help you make it well. We are not responsible for outcomes that depend on the client’s health, on a third party, or on information we were not given. If we are ever liable to you for ordinary economic loss under this agreement, that liability is limited to the greater of $1,000 or the fees you paid us in the twelve months before the claim. That limit does not apply to, and nothing here limits, our liability for: personal injury; our own negligence, gross negligence, willful misconduct or fraud; any breach of confidentiality, privacy or data security; refunds owed under this agreement; or anything a consumer protection law does not allow us to limit. We are not asking you to indemnify us for anything. 17. If something goes wrong between us Tell us first. Most things are fixable and we would rather fix them than argue about them. Write to your Navigator or to hello@meridianco.org, and we will respond within ten business days. This agreement is governed by the laws of the State of Tennessee. Any legal action arising from it will be brought in the state or federal courts of Hamilton County, Tennessee, and we both consent to that. Nothing here requires arbitration, waives a jury, waives your right to join with others, shortens any filing deadline, or requires you to complain to us before going elsewhere. 18. The rest Changes. We may update this agreement. If we do, we will give you at least 60 days’ written notice, and the change will take effect at your renewal. Your continued membership after that is your acceptance. The whole agreement. This document and the Privacy Notice are the whole of what we have agreed. Anything said before it, that is not written here, is not part of it. If part of it fails. If a court finds any part of this unenforceable, the rest still stands. Assignment. You cannot transfer this agreement to anyone else. We may transfer it if our business is sold, and we will tell you if that happens. Schedule A — what Guided includes

Schedule A — Guided Guided — $499 per month Your Navigator One named Navigator holds your family’s work. You will be told who they are, and told if that ever changes. Meridian supervisors and covering staff may assist when needed. The Meridian Compass • Completed with your Navigator within the first 30 days. • Revisited every 90 days, and any time something changes that matters — a hospital stay, a diagnosis, a move, a change in who is deciding. • It is not a test you retake. The Compass is a living record of where your family actually stands. It deepens as we learn more, and your Navigator works from it every month rather than opening it four times a year. • You can see it at any time, and so can the family members you have named. Conversations • At least one hour a month with your Navigator — as a single conversation, or as two half-hour conversations, whichever suits you. • Two points of contact a month is what we aim for, and for most families that is how it goes. • By phone or video, with the client or a family member you have named, at a time you choose. • If a month is busier, we do not stop at the hour. The number is what we commit to, not what we ration. • If something gets missed, it moves — it does not disappear. A conversation you could not make rolls forward to the next available time. We do not count unused time and we will never tell you that you have run out. Messages • Write to your Navigator as often as you need, through the Meridian portal. • Answered by the end of the next business day, with what happens next or when to expect an answer. • That is an acknowledgment, not a promise that everything is resolved in a day. Coordination — the actual work Your Navigator makes the calls, arranges the appointments, chases the people who have not called back, and tells you what happened. Included: • Arranging appointments and following up on what came out of them • Finding and comparing providers, agencies, attorneys and services • Speaking with providers, facilities and agencies on your behalf, where you have authorized it • Keeping the plan current, and telling you what changed • Keeping family members informed, within the permissions you have set • Helping the client keep doing the things that matter to them, and working on the ones they have stopped Around three hours of coordination a month is included. If a month runs well beyond that, your Navigator will tell you before it becomes an issue and we will agree what happens next — usually a Signature Project. We will not stop in the middle of something and ask you for money. The family meeting • At least once a year, a facilitated conversation with the family members you choose, with a written outcome afterward: what was decided, who does what by when, and what was left open. • A second one in the same year where the situation calls for it. • Beyond that it becomes a Signature Project (The Family Meeting). Your documents • Unlimited storage in the Meridian vault. • Documents you put there are opened only by you and your Navigator, unless you say otherwise, and every opening is recorded. • Your originals stay yours. We do not replace your own filing or your own backup. Where and how • Remote. Phone, video, portal, email, and text where you have agreed to it. • Meridian does not come to the home. We do not provide personal care, transport, household help, medication management, or supervision, and we do not send anyone who does. We arrange those things with independent providers, who contract with you directly. Hours • Monday to Friday, 9:00 a.m. to 5:00 p.m. Eastern, excluding federal holidays. • Outside those hours we are not staffed. Not included • Home visits, personal care, transport, household work, or companion care • Medication management or clinical advice of any kind • Legal, tax, financial or investment advice • Round-the-clock availability or monitoring • Third-party costs — the agencies, attorneys, contractors and facilities you engage bill you directly • Signature Projects, which are agreed and priced separately
